Terms & Conditions
The deal, in plain English — what you get, what we promise, what we each owe the other. Reading time: about five minutes.

1. Who you're dealing with
"OtiumLab", "we" and "us" means Marcin Lewandowski trading as Depthia, a sole trader registered in the United Kingdom, of 66 Paul Street, London EC2A 4NA (hello@otiumlab.com). These terms govern both your use of this website and any services you buy from us. By booking a service you accept these terms.
2. Business customers only
Our services are supplied to businesses — sole traders, partnerships and companies — for use in their business. By booking, you confirm you are acting in the course of your business and not as a consumer. Statutory consumer protections (including consumer cancellation rights under the Consumer Contracts Regulations 2013) therefore do not apply; the rights you have are the ones set out in these terms — including the Otium Guarantee, which is more generous than most.
3. The services
Each service has a fixed scope, a fixed fee and a clear finish line:
- The Diagnostic (£197): a short call with Ellie, our AI assistant, follow-up questions where needed, a written Action Plan identifying three automations ranked by payback (each estimated in hours and pounds), and a personal video walkthrough. Target delivery: within 24 hours of your completed call.
- Otium Audit (£997): a longer call (with Marcin joining by video where useful), a full written automation blueprint in plain English, one quick-win automation built and handed over working, and 30 days of email support. Target delivery: within 5 working days of your completed call.
- The Build (individually scoped): defined in a separate written proposal, which will state its own scope, fee, timeline and any terms that add to or vary these.
Delivery targets assume you provide the information and access we ask for promptly and accurately; timelines pause while we're waiting on you. "Working days" excludes weekends and English bank holidays. Delivery times are targets we usually beat, not contractual deadlines — time is not of the essence. "30 days of email support" means reasonable email questions about the deliverables and the automation we built for you; it does not include building new automations, modifications, or work outside the delivered scope.
4. Ordering and payment
Bookings are made through our online forms and paid in full at the time of booking via Stripe. Prices are as stated at the point of booking. We are not VAT registered, so no VAT is charged — the price you see is the full price. A contract is formed when your payment is confirmed. We may decline a booking (and refund it in full) if we reasonably believe we can't help you — we'd rather refund than deliver something useless.
5. The Otium Guarantee
If your Diagnostic Action Plan or Audit blueprint does not identify at least 5 hours per week of realistically automatable work in your business, we will refund the full fee you paid for that service. To claim: email hello@otiumlab.com within 14 days of receiving your deliverables. No forms, no argument.
Sensible limits, so the guarantee stays honest:
- It applies where you've completed the intake call and given materially accurate and complete information about how your business runs.
- It covers the fee you paid us — not third-party costs or anything else.
- One claim per business.
- The "5 hours" is the time our deliverables identify as realistically automatable, based on what you've told us — the guarantee is that we'll find the opportunity, not a promise of what you'll subsequently choose to implement. Whether the deliverables meet that threshold is assessed by us, acting reasonably and on the information you provided.
- A refund under this guarantee ends that engagement: the refunded fee cannot also be used as a credit under section 6, and any support period ends on refund.
- Approved refunds are returned to your original payment method within 14 days.
6. Credits between services
If you upgrade within 90 days of delivery: your £197 Diagnostic fee is credited in full against the Otium Audit, and your £997 Audit fee is credited in full against The Build. Credits are not transferable, have no cash value, and can each be used once.
7. AI, recordings and honesty about how we work
Ellie is an AI assistant. Calls with Ellie are made using AI voice technology and are recorded and transcribed so we can prepare your deliverables; you'll be told this at the start of each call. Our deliverables are prepared with the assistance of AI tools and are reviewed by a human before they reach you. Estimates of time and cost savings in our deliverables are good-faith professional estimates based on the information you provide — they are inherently estimates, not promises (see section 10).
8. Your side of the deal
- Give us accurate, reasonably complete information about your business.
- Provide timely access to the tools and accounts needed for anything we're building for you.
- Keep your own subscriptions to third-party tools (Zapier, Xero, etc.) — those contracts and costs are yours, and you're responsible for complying with their terms.
- Stay responsible for your own legal compliance in how you use what we build — including UK GDPR and marketing rules (we'll flag anything we spot, but you're the controller of your customers' data).
9. Intellectual property
Once you've paid in full, you own your deliverables — the plans, blueprints, videos and the automations we build in your accounts. We retain ownership of our pre-existing know-how, templates, methods and tools, and the right to use the general knowledge and experience gained (never your confidential information) in our other work.
10. What we're liable for — and what we're not
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be excluded.
Subject to that:
- Our total liability to you, however arising, is capped at the total fees you paid us in the 12 months before the claim arose.
- We are not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of data, or loss of business opportunity.
- We are not liable for third-party tools and services — their outages, price changes, feature removals or data practices are outside our control.
- Estimated savings are estimates. Beyond the express Otium Guarantee in section 5, we do not guarantee any particular business outcome, revenue result or amount of time saved.
11. Confidentiality
Each of us will keep the other's confidential information confidential and use it only for the purposes of the services. This survives the end of our engagement. We may say publicly that you are a client, but we will not publish details of your business without your permission.
12. Data protection
How we handle personal data is set out in our Privacy Policy, which forms part of these terms.
13. The website and its content
Our website content — including the blog, free resources and the free scan — is general information, not professional advice for your specific situation, and is provided "as is". The free scan's score and estimates are indicative only. We may change or withdraw any part of the free website content at any time.
14. Ending things
Either of us may end an engagement by written notice if the other materially breaches these terms and doesn't fix it within 14 days of being asked. If we end it without such cause before delivering, we'll refund you in proportion to what hasn't been delivered.
15. The boring-but-important bits
- These terms (plus any Build proposal and the Privacy Policy) are the entire agreement between us and replace anything discussed before.
- Changes to these terms only bind existing engagements if agreed in writing.
- If a court finds part of these terms unenforceable, the rest still stands.
- Not enforcing a right once doesn't mean it's waived.
- Neither of us may assign this agreement without the other's consent.
- Neither of us is liable for delay caused by events outside reasonable control, provided the other is notified promptly.
16. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction — though we'd always rather solve a problem over email than in a courtroom.
